Acceptance of Terms
By visiting our website, requesting an assessment, scheduling care, or receiving services from Magnolia Grace Home Care (“Magnolia Grace,” “we,” “us,” “our”), you (“Client,” “you,” or your authorized representative) agree to these Terms & Conditions and any service-specific documents we provide (e.g., Service Agreement, Care Plan, rate sheet, consents). If you do not agree, please do not use our services.
Nature & Scope of Services
Magnolia Grace provides non-medical, in-home care (e.g., assistance with activities of daily living, companionship, light housekeeping, meal prep, medication reminders, transportation/errands, and caregiver respite). We do not provide medical, nursing, or clinical services; we do not diagnose, treat, or make medical decisions. We may coordinate with home health, hospice, or other providers at your request.
Assessments & Care Plans
Prior to starting services, we conduct an assessment and create a written Care Plan reflecting tasks, safety considerations, schedules, and preferences. The Care Plan may be updated as needs change. Caregivers follow the Care Plan and your reasonable house rules, provided they are safe and lawful.
Scheduling, Minimums & Holidays
Visits are scheduled by mutual agreement. A daily or per-visit minimum may apply (typically 2–4 hours). Start/end times may vary due to traffic, weather, or emergencies; we will communicate changes promptly. Premium/holiday rates may apply on major holidays (e.g., New Year’s Day, Memorial Day, Independence Day, Labor Day, Thanksgiving, Christmas).
Cancellations & Rescheduling
Please provide at least 24 hours’ notice to cancel or reschedule. Late cancellations or missed visits may be billed up to the visit minimum. If a caregiver is unavailable (illness, emergency), we will offer a qualified substitute or reschedule.
Rates, Billing & Payment
Rates are provided in your Service Agreement or current rate sheet and may be updated with notice. Unless otherwise stated, invoices are due upon receipt; late balances may incur a reasonable late fee and collection costs as permitted by law. We accept approved payment methods (e.g., card, ACH). Returned payments may incur bank/processing fees. If you seek reimbursement (e.g., long-term care insurance), you remain responsible for all charges regardless of payer decisions.
Staffing & Substitution
We recruit, screen, and assign caregivers. We may change or substitute caregivers to ensure coverage and quality. Caregivers are employees or properly classified personnel of Magnolia Grace or our vendors; you agree not to supervise them beyond the agreed Care Plan or request tasks that are unsafe or outside scope.
Non-Solicitation / Direct Hire
You agree not to employ, contract with, or engage any Magnolia Grace caregiver directly during services and for 12 months after the last visit without our written consent. If you hire directly in violation of this clause, you agree to pay Magnolia Grace a placement fee equal to 200 hours at your then-current hourly rate, plus any associated costs reasonably incurred.
Client Responsibilities & Safety
You agree to provide a safe environment (e.g., clear walkways, adequate lighting), secure any weapons, restrain or separate aggressive pets, and disclose hazards (e.g., bedbugs, mold). A smoke-free environment during visits is required. We may suspend or terminate a visit we deem unsafe, billing any applicable minimum.
Access, Keys & Property
You authorize safe access to the home and necessary systems (e.g., key, lockbox, gate code). We handle keys/codes with care; however, we are not responsible for losses due to pre-existing defects or third-party actions outside our control.
Transportation & Errands
If transportation is included, it is provided for the Client only and may incur mileage or time charges as stated in your rate sheet. You acknowledge inherent driving risks and release Magnolia Grace from claims arising from third-party accidents not caused by our gross negligence or willful misconduct.
Infection Control & Illness
We follow infection-control practices appropriate to non-medical care (hand hygiene, standard precautions). If infectious illness is suspected, we may adjust tasks or schedules to protect all parties. Please inform us promptly of contagious conditions or exposures.
Emergencies & Incident Response
In an emergency, we may call 911 first, then notify your designated contact. We document incidents and escalate concerns per policy. We are not responsible for the acts or omissions of emergency responders or other third parties.
Privacy & Confidentiality
We safeguard Client information using HIPAA-informed practices appropriate to non-medical services. We share information only with authorized parties, vendors under confidentiality obligations, or as required by law. See our Privacy Policy at www.magnoliagracehc.com for details.
Communications & Consent
By providing contact information, you consent to receive service-related calls, texts, voicemail, and emails. Message/data rates may apply. You may opt out of non-essential marketing at any time; service and legal notices will still be sent.
Prohibited Tasks
Caregivers do not perform clinical tasks (injections, wound care, medication administration), heavy/unsafe lifting, professional trades (electrical/plumbing), hazardous cleaning (e.g., biohazard remediation), financial transactions, or tasks violating law or policy.
Photos, Recordings & Social Media
We do not take or share photos/audio/video of Clients without written consent. We prohibit posting Client information, images, or addresses on social media.
Warranty Disclaimer (Website/Materials)
Our website and materials are provided “as is.” We disclaim all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Magnolia Grace’s total liability for any claims arising from services or website use is limited to the fees you paid to Magnolia Grace for services in the 60 days preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, punitive, or consequential damages.
Indemnification
You agree to indemnify and hold harmless Magnolia Grace, its owners, employees, and agents from claims, damages, or expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms; (b) unsafe or undisclosed conditions at the service location; or (c) requests that require tasks outside scope or law—except to the extent caused by our gross negligence or willful misconduct.
Term, Suspension & Termination
Either party may terminate services with notice per the Service Agreement. We may suspend or terminate immediately for safety concerns, non-payment, harassment, illegal activity, or repeated violations of these Terms. You remain responsible for charges incurred through the termination date and any applicable minimums.
Changes to Terms
We may update these Terms from time to time. The Effective Date above reflects the latest version. Continued use of services after changes constitutes acceptance.
Governing Law & Venue
These Terms are governed by the laws of the State of Mississippi, without regard to conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Rankin County, Mississippi. If any provision is found unenforceable, the remaining provisions remain in full force.
Entire Agreement & Electronic Signatures
These Terms, together with your Service Agreement, Care Plan, consents, and rate sheet, form the entire agreement between you and Magnolia Grace regarding services and supersede prior communications. Electronic signatures and copies (PDF, email) are legally valid and enforceable.
